Stat. tit. 18, § 18-1099","heading":"Continuation of corporation after dissolution for","body":"purposes of suit and winding up affairs.\n\nCONTINUATION OF CORPORATION AFTER DISSOLUTION FOR PURPOSES OF SUIT\n\nAND WINDING UP AFFAIRS\n\nAll corporations, whether they expire by their own limitation or\n\nare otherwise dissolved, nevertheless shall be continued, for the\n\nterm of three (3) years from such expiration or dissolution or for\n\nsuch longer period as the district court shall in its discretion\n\ndirect, bodies corporate for the purpose of prosecuting and\n\ndefending suits, whether civil, criminal or administrative, by or\n\nagainst them, and of enabling them gradually to settle and close\n\ntheir business, to dispose of and convey their property, to\n\ndischarge their liabilities, and to distribute to their shareholders\n\nany remaining assets, but not for the purpose of continuing the\n\nbusiness for which the corporation was organized. With respect to\n\nany action, suit, or proceeding begun by or against the corporation\n\neither prior to or within three (3) years after the date of its\n\nexpiration or dissolution, the action shall not abate by reason of\n\nthe expiration or dissolution of the corporation. The corporation,\n\nsolely for the purpose of such action, suit or proceeding, shall be\n\ncontinued as a body corporate beyond the three-year period and until\n\nany judgments, orders or decrees therein shall be fully executed,\n\nwithout the necessity for any special direction to that effect by\n\nthe district court.
