Stat. tit. 18, § 18-1130","heading":"Foreign corporations - Definition - Qualification to do","body":"business in state - Procedure\n\nFOREIGN CORPORATIONS; DEFINITION; QUALIFICATION TO DO BUSINESS IN\n\nSTATE; PROCEDURE\n\nA. As used in the Oklahoma General Corporation Act, the words\n\n\"foreign corporation\" mean a corporation organized pursuant to the\n\nlaws of any jurisdiction other than this state.\n\nB. No foreign corporation shall do any business in this state,\n\nthrough or by branch offices, agents or representatives located in\n\nthis state, until it shall have paid to the Secretary of State of\n\nthis state the fees prescribed in Section 1142 of this title and\n\nshall have filed with the Secretary of State:\n\n1. A certificate as of a date not earlier than six (6) months\n\nprior to the filing date issued by an authorized officer of the\n\njurisdiction of its incorporation evidencing its corporate\n\nexistence. If such certificate is in a foreign language, a\n\ntranslation thereof, under oath of the translator, shall be attached\n\nthereto;\n\n2. A statement executed by an authorized officer of the\n\ncorporation and acknowledged in accordance with the provisions of\n\nSection 1007 of this title, setting forth:\n\na. the mailing address of the corporation's principal\n\nplace of business, wherever located,\n\nb. the name and street address of its additional\n\nregistered agent in this state, if any, which agent\n\nmay be an individual resident in this state, a\n\ndomestic corporation, a domestic partnership whether\n\ngeneral or limited and including a limited liability\n\npartnership or a limited liability limited\n\npartnership, a domestic limited liability company, a\n\ndomestic statutory trust, a foreign corporation other\n\nthan a foreign partnership whether general or limited\n\nand including a limited liability partnership or a\n\nlimited liability limited partnership, a foreign\n\nlimited liability company or a foreign statutory\n\ntrust, if authorized to transact business in this\n\nstate,\n\nc. the aggregate number of its authorized shares itemized\n\nby classes, par value of shares, shares without par\n\nvalue, and series, if any, within any classes\n\nauthorized, unless it has no authorized capital,\n\nd. a statement, as of a date not earlier than six (6)\n\nmonths prior to the filing date, of the assets and\n\nliabilities of the corporation,\n\ne. the business it proposes to do in this state and a\n\nstatement that it is authorized to do that business in\n\nthe jurisdiction of its incorporation, and\n\nf. a statement of the maximum amount of capital such\n\ncorporation intends and expects to invest in the state\n\nat any time during the current fiscal year. \"Invested\n\ncapital\" is defined as the value of the maximum amount\n\nof funds, credits, securities and property of whatever\n\nkind existing at any time during the fiscal year in\n\nthe State of Oklahoma and used or employed by such\n\ncorporation in its business carried on in this state.\n\nC. The Secretary of State, upon payment to the Secretary of\n\nState of the fees prescribed in Section 1142 of this title, shall\n\nissue a sufficient number of certificates under the hand and\n\nofficial seal of the Secretary of State, evidencing the filing of\n\nthe statement required by the provisions of subsection B of this\n\nsection. The certificate of the Secretary of State shall be prima\n\nfacie evidence of the right of the corporation to do business in\n\nthis state; provided that the Secretary of State shall not issue\n\nsuch certificate unless the name of the corporation is such as to\n\ndistinguish it upon the records of the Office of the Secretary of\n\nState in accordance with the provisions of Section 1141 of this\n\ntitle.\n\nD. A foreign corporation, upon receiving a certificate from the\n\nSecretary of State, shall enjoy the same rights and privileges as,\n\nbut not greater than, a corporation organized under the laws of this\n\nstate for the purposes set forth in the statement filed by the\n\ncorporation with the Secretary of State pursuant to which such\n\ncertificate is issued and, except as otherwise provided in the\nitle.\n\nD.
