Stat. tit. 18, § 18-1148","heading":"Issuing public corporation - definition","body":"ISSUING PUBLIC CORPORATION; DEFINITION\n\nA. As used in Sections 1145 through 1155 of this title,\n\n\"issuing public corporation\" means a domestic corporation that has:\n\n1. Any class of securities registered pursuant to Section 12 or\n\nis subject to Section 15(d) of the Securities Exchange Act of 1934,\n\n15 U.S.C. Section 78a et seq., as amended;\n\n2. One thousand (1,000) or more shareholders; and\n\n3. Either:\n\na. more than ten percent (10%) of its shareholders\n\nresident in Oklahoma,\n\nb. more than ten percent (10%) of its shares owned by\n\nOklahoma residents, or\n\nc. ten thousand (10,000) shareholders resident in\n\nOklahoma.\n\nB. The residence of a shareholder is presumed to be the address\n\nappearing in the records of the corporation.\n\nC. Shares held by banks except as trustee or guardian, brokers\n\nor nominees shall be disregarded for purposes of calculating the\n\npercentages or numbers described in this section.\n\nD. A domestic corporation that is not an issuing public\n\ncorporation but that has one hundred (100) or more shareholders of\n\nrecord and meets one of the requirements set forth in subsection A\n\nof this section, or an issuing public corporation to which Sections\n\n1145 through 1155 of this title do not apply, may elect to be\n\nsubject to Sections 1145 through 1155 of this title as an issuing\n\npublic corporation by amending its certificate of incorporation to\n\nprovide that Sections 1145 through 1155 of this title shall apply to\n\nthe corporation as of a specified date and filing the amendment with\n\nthe Secretary of State on or before such date.\n\nE. A corporation which would be an issuing public corporation\n\nunder subsection A of this section may elect not to be subject to\n\nSections 1145 through 1155 of this title before a control share\n\nacquisition occurs or an acquiring person statement is delivered:\n\n1. By amending its certificate of incorporation to provide that\n\nSections 1145 through 1155 of this title shall not apply to the\n\ncorporation as of a specified date and filing the amendment with the\n\nSecretary of State before such date; or\n\n2.
