Stat. tit. 18, § 18-1148A","heading":"Other definitions","body":"OTHER DEFINITIONS\n\nAs used in Sections 1145 through 1155 of Title 18 of the\n\nOklahoma Statutes:\n\n1. \"Acquiring person\" means a person who makes or proposes to\n\nmake, or persons acting as a \"group\" as defined in Section 13(d)(3)\n\nof the Securities Exchange Act of 1934, 15 U.S.C. Section 78a et\n\nseq., as amended, who make or propose to make, a control share\n\nacquisition; provided, \"acquiring person\" does not include the\n\nissuing public corporation;\n\n2. \"Affiliate\" means a person who directly or indirectly\n\ncontrols the corporation. For the purpose of this paragraph,\n\n\"control\" means the possession, direct or indirect, of the power to\n\ndirect or cause the direction of the management and policies of the\n\ncorporation, whether through the ownership of voting securities, by\n\ncontract, or otherwise. A person's beneficial ownership of ten\n\npercent (10%) or more of all voting power of a corporation, except a\n\nperson holding voting power in good faith as an agent, bank, broker,\n\nnominee, custodian or trustee for one or more beneficial owners who\n\ndo not individually or as a group control the corporation, creates a\n\npresumption that the person controls the corporation;\n\n3. \"All voting power\" means the aggregate voting power that the\n\nshareholders of an issuing public corporation would have in the\n\nelection of directors generally, except for Sections 1145 through\n\n1155 of Title 18 of the Oklahoma Statutes;\n\n4. \"Beneficial ownership\" shall have the same meaning ascribed\n\nto such term by Rule 13d-3 under the Securities Exchange Act of\n\n1934, 15 U.S.C., Section 78a et seq., as amended; and\n\n5. \"Person\" means any individual, corporation, partnership,\n\nunincorporated association or other entity.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"a775034db3b0118555c9f2e60d915833a6b535f5a3d2e2b2f2a3914b82b3747e","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-1148","next":"us-ok/okla.-stat.-tit.-18-18-1149"},"notice":"GroundRules: Original legal text.
