Stat. tit. 18, § 18-1150","heading":"Notice of control share acquisition","body":"NOTICE OF CONTROL SHARE ACQUISITION\n\nAny acquiring person who proposes to make a control share\n\nacquisition may, at the person's election, and any acquiring person\n\nwho has made a control share acquisition shall, deliver an acquiring\n\nperson statement to the issuing public corporation at the issuing\n\npublic corporation's principal office. The acquiring person\n\nstatement must set forth all of the following:\n\n1. The identity of the acquiring person;\n\n2. A statement that the acquiring person statement is given\n\npursuant to Sections 1145 through 1155 of this title;\n\n3. The number of shares of the issuing public corporation\n\nowned, directly or indirectly, by the acquiring person, the\n\nacquisition date and the prices at which such shares were acquired;\n\n4. The voting power to which the acquiring person, except for\n\nSection 1149 of this title, would be entitled;\n\n5. A form of resolution to be considered by the shareholders\n\npursuant to Section 1153 of this title; and\n\n6. If the control share acquisition has not yet occurred:\n\na. a description in reasonable detail of the terms of the\n\nproposed control share acquisition, and\n\nb. representations of the acquiring person, together with\n\na statement in reasonable detail of the facts upon\n\nwhich they are based, that the proposed control share\n\nacquisition, if consummated, will not be contrary to\n\nlaw, and that the acquiring person has the financial\n\ncapacity to make the proposed control share\n\nacquisition.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"7614803d59dee6d3f68fc713e077234dcd22a41eb02aeaae9eab192a15fb835e","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-1149","next":"us-ok/okla.-stat.-tit.-18-18-1151"},"notice":"GroundRules: Original legal text.
