A benefit corporation shall have a purpose of creating\n\ngeneral public benefit. This purpose is in addition to its purpose\n\nunder the Oklahoma General Corporation Act or the Oklahoma Banking\n\nCode.\n\nB. The certificate of incorporation of a benefit corporation\n\nmay identify one or more specific public benefits that it is the\n\npurpose of the benefit corporation to create in addition to its\n\npurposes under the Oklahoma General Corporation Act or the Oklahoma\n\nBanking Code and subsection A of this section. The identification\n\nof a specific public benefit under this subsection does not limit\n\nthe purpose of a benefit corporation to create general public\n\nbenefit under subsection A of this section.\n\nC. The creation of general public benefit and specific public\n\nbenefit under subsections A and B of this section shall be in the\n\nbest interests of the benefit corporation.\n\nD. A benefit corporation may amend its certificate of\n\nincorporation to add, amend or delete the identification of a\n\nspecific public benefit that it is the purpose of the benefit\n\ncorporation to create. In order to be effective, the amendment\n\nshall be adopted by at least the minimum status vote.\n\nE. A professional corporation that is a benefit corporation\n\nshall not violate the Professional Entity Act by having the purpose\n\nto create general public benefit or a specific public benefit.\n\nF. A state bank or trust company that is a benefit corporation\n\nshall not violate the Oklahoma Banking Code by having the purpose to\n\ncreate general public benefit or a specific public benefit, but\n\nnothing in the Oklahoma Benefit Corporation Act shall eliminate,\n\ndiminish or supersede the duties of a benefit corporation that is a\n\nstate bank or trust company to operate safely and soundly in\n\naccordance with applicable regulatory requirements.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"9600d1483d195957a80a4be8be3065113cbc183958b9243ead653ac86687be3c","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-1205","next":"us-ok/okla.-stat.-tit.-18-18-1207"},"notice":"GroundRules: Original legal text.
