A benefit corporation shall annually provide its\n\nshareholders with a statement as to the corporation's promotion of\n\ngeneral public benefit and any specific public benefit identified in\n\nthe certificate of incorporation. The statement shall include:\n\n1. The objectives the board of directors has established to\n\npromote general public benefit and any specific public benefit;\n\n2. The standards the board of directors has adopted to measure\n\nthe corporation's progress in promoting general public benefit and\n\nany specific public benefit;\n\n3. Objective factual information based on those standards\n\nregarding the corporation's success in meeting the objectives for\n\npromoting general public benefit and any specific public benefit;\n\nand\n\n4. An assessment of the corporation's success in meeting the\n\nobjectives and promoting general public benefit and any specific\n\npublic benefit.\n\nB. The certificate of incorporation or bylaws of a benefit\n\ncorporation may require that the corporation:\n\n1. Make the statement described in subsection A of this section\n\navailable to the public; and\n\n2. Use a third-party standard in connection with or attain a\n\nperiodic third-party certification addressing the corporation's\n\npromotion of general public benefit and any specific public benefit\n\nidentified in the certificate of incorporation.\n\nC. The benefit statement and the assessment of the performance\n\nof the benefit corporation in the benefit statement required by\n\nsubsection A of this section are not required to be audited or\n\ncertified by a third party.\n\nD. A benefit corporation shall send its annual benefit\n\nstatement to each shareholder on the earlier of:\n\n1. One hundred twenty (120) days following the end of the\n\nfiscal year of the benefit corporation; or\n\n2.
