The articles of organization shall set forth:\n\n1. The name of the limited liability company;\n\n2. The term of the existence of the limited liability company\n\nwhich may be perpetual; and\n\n3. The street address of its principal place of business,\n\nwherever located, and the name and street address of its registered\n\nagent which shall be identical to its registered office in this\n\nstate.\n\nB. If the limited liability company is to establish two or more\n\nseries of members, managers or membership interests having separate\n\nrights, powers or duties as provided under Section 2054.4 of this\n\ntitle or Section 14 of this act and the debts, liabilities and\n\nobligations incurred, contracted for or otherwise existing with\n\nrespect to a particular series are to be enforceable against the\n\nassets of the series only, the articles of organization shall set\n\nforth a notice of the limitation on liabilities of the series.\n\nC. The articles of organization may set forth any other matters\n\nthe members determine to include.
