Articles required by Section 2000 et seq. of this title to\n\nbe filed with the Office of the Secretary of State shall be executed\n\nin the following manner:\n\n1. Articles of organization must be signed by at least one\n\nperson who need not be a member of the limited liability company;\n\nand\n\n2. Articles of amendment, registered series, merger,\n\nconsolidation, conversion, division, or dissolution must be signed\n\nby a manager.\n\nB. Any person may sign any articles by an attorney in fact. A\n\nperson who executes articles as an attorney-in-fact, agent or\n\nfiduciary is not required to exhibit evidence of his or her\n\nauthority as a prerequisite to filing.\n\nC. The execution of any articles under the Oklahoma Limited\n\nLiability Company Act constitutes an affirmation under the penalties\n\nof perjury that the facts stated therein are true.\n\nD.
