The name of each limited liability company as set forth in\n\nits articles of organization shall contain either the words “limited\n\nliability company” or “limited company” or the abbreviations “LLC”,\n\n“LC”, “L.L.C.”, or “L.C.” The word “limited” may be abbreviated as\n\n“LTD.” and the word “Company” may be abbreviated as “CO.”\n\nB. The name of each registered series as set forth in its\n\narticles of registered series shall set forth the name of the\n\nlimited liability company including any word, abbreviation, or\n\ndesignation required by subsection A of this section, and the name\n\nof the registered series.\n\nC. The name of the limited liability company or registered\n\nseries may not be the same as or indistinguishable from:\n\n1. Names upon the records in the Office of the Secretary of\n\nState of limited liability companies, whether organized pursuant to\n\nthe laws of this state or licensed or registered as foreign limited\n\nliability companies, then in good standing or registered or which\n\nwere in good standing or registered at any time during the preceding\n\nthree (3) years;\n\n2. Names upon the records in the Office of the Secretary of\n\nState of corporations organized under the laws of this state or of\n\nforeign corporations registered in accordance with the laws of this\n\nstate then existing or which existed at any time during the\n\npreceding three (3) years;\n\n3. Names upon the records in the Office of the Secretary of\n\nState of general or limited partnerships, whether formed under the\n\nlaws of this state or registered as foreign general or limited\n\npartnerships, then in good standing or registered or which were in\n\ngood standing or registered at any time during the preceding three\n\n(3) years;\n\n4. Names upon the records in the Office of the Secretary of\n\nState of registered series, whether formed under the laws of this\n\nstate or registered as foreign registered series, then in good\n\nstanding or registered or which were in good standing or registered\n\nat any time during the preceding three (3) years; or\n\n5. Trade names, fictitious names, or other names reserved with\n\nthe Secretary of State.\n\nD. The provisions of subsection C of this section shall not\n\napply if one of the following is filed with the Secretary of State:\n\n1. The written consent of the other limited liability company,\n\nregistered series, corporation, limited partnership, or holder of\n\nthe trade name, fictitious name or other reserved name to use the\n\nsame or indistinguishable name with the addition of one or more\n\nwords, numerals, numbers or letters to make that name\n\ndistinguishable upon the records of the Secretary of State, except\n\nthat the addition of words, numerals, numbers or letters to make the\n\nname distinguishable shall not be required where such written\n\nconsent states that the consenting entity is about to change its\n\nname, cease to do business, withdraw from the state or be wound up;\n\nor\n\n2.
