Every domestic limited liability company and registered\n\nseries shall continuously maintain in this state:\n\n1. A registered office which may be, but need not be, the same\n\nas its principal place of business; and\n\n2. A registered agent for service of process on the limited\n\nliability company or registered series that may be the domestic\n\nlimited liability company or registered series itself, an individual\n\nresident of this state or a domestic or qualified foreign\n\ncorporation, limited liability company or general or limited\n\npartnership including a limited liability partnership or a limited\n\nliability limited partnership. Each registered agent shall maintain\n\na business office identical with the registered office which is open\n\nduring regular business hours to accept service of process and\n\notherwise perform the functions of a registered agent.\n\nB. 1. A limited liability company or registered series may\n\ndesignate or change its registered agent, registered office or\n\nprincipal office by filing with the Office of the Secretary of State\n\na statement authorizing the designation or change and signed by any\n\nmanager.\n\n2. A limited liability company or registered series may change\n\nthe street address of its registered office by filing with the\n\nOffice of the Secretary of State a statement of the change signed by\n\nany manager.\n\n3. A designation or change of a principal office or registered\n\nagent or street address of the registered office for a limited\n\nliability company or registered series under this subsection is\n\neffective when the Office of the Secretary of State files the\n\nstatement, unless a later effective date or time, which shall be a\n\nspecified date or time not later than a time on the ninetieth day\n\nafter the filing, is provided in the statement.\n\nC. 1. A registered agent who changes its, his or her name or\n\nstreet address in the state may notify the Office of the Secretary\n\nof State of the change by filing with the Office of the Secretary of\n\nState a statement of the change signed by the agent or on the\n\nagent’s behalf.\n\n2. The statement shall include:\n\na. the name of the limited liability company or\n\nregistered series for which the change is effective,\n\nb. the new name or street address, or both, of the\n\nregistered agent, and\n\nc. the date on which the change is effective, if to be\n\neffective after the filing date.\n\n3. If the new address of the registered agent is the same as\n\nthe new address of the principal office of the limited liability\n\ncompany or registered series, the statement may include a change of\n\naddress of the principal office if:\n\na. the registered agent notifies the limited liability\n\ncompany or registered series of the change in writing,\n\nand\n\nb. the statement recites that the registered agent has\n\ndone so.\n\n4. The change of address of the registered agent or principal\n\noffice is effective when the Office of the Secretary of State files\n\nthe statement, unless a later effective date or time, which shall be\n\na specified date or time not later than a time on the ninetieth day\n\nafter the filing, is provided in the statement.\n\nD. 1. A registered agent may resign by filing with the Office\n\nof the Secretary of State a copy of the resignation, signed and\n\nacknowledged by the registered agent, which contains a statement\n\nthat notice of the resignation was given to the limited liability\n\ncompany or registered series at least thirty (30) days before the\n\nfiling of the resignation by mailing or delivering the notice to the\n\nlimited liability company or registered series at its address last\n\nknown to the registered agent and specifying the address therein.\n\n2. The resignation is effective thirty (30) days after it is\n\nfiled, unless a later effective date or time, which shall be a\n\nspecified date or time not later than a time on the ninetieth day\n\nafter the filing, is provided in the resignation.\n\negistered series at its address last\n\nknown to the registered agent and specifying the address therein.\n\n2. The resignation is effective thirty (30) days after it is\n\nfiled, unless a later effective date or time, which shall be a\n\nspecified date or time not later than a time on the ninetieth day\n\nafter the filing, is provided in the resignation.\n\n3. If a domestic limited liability company or registered series\n\nfails to obtain and designate a new registered agent before the\n\nresignation is effective, the Secretary of State shall be deemed to\n\nbe the registered agent of the limited liability company or\n\nregistered series until a new registered agent is designated.\n\nE.
