Stat. tit. 18, § 18-2012.1","heading":"Cancellation of articles of organization","body":"CANCELLATION OF ARTICLES OF ORGANIZATION\n\nA. The articles of organization or registered series shall be\n\ncanceled:\n\n1. Upon the dissolution and the completion of winding up of a\n\nlimited liability company or registered series;\n\n2. As provided in subsection B of this section;\n\n3. Upon the filing of a certificate of merger or consolidation\n\nif the domestic limited liability company or registered series is\n\nnot the surviving or resulting entity in a merger or consolidation;\n\n4. Upon the conversion of a domestic limited liability company\n\napproved in accordance with Section 2054.2 of this title;\n\n5. Upon the filing of articles of division if the limited\n\nliability company is a dividing company that is not a surviving\n\ncompany; or\n\n6. Upon the future effective date or time of the articles of\n\ndivision if the limited liability company is a dividing company that\n\nis not a surviving company.\n\nB. The articles of organization of a domestic limited liability\n\ncompany or articles of registered series of a registered series\n\nshall be deemed to be canceled if the domestic limited liability\n\ncompany or registered series fails to file the annual certificate\n\nand pay the annual fee provided in Section 2055.2 of this title or\n\npay the registered agent fee to the Secretary of State due under\n\nSection 2055 of this title within three (3) years from the date the\n\ncertificate or fee is due, the cancellation to be effective on the\n\nthird anniversary of the due date.\n\nC.
