Stat. tit. 18, § 18-2015","heading":"Management of company without designated managers -","body":"Resignation of member.\n\nMANAGEMENT OF COMPANY WITHOUT DESIGNATED MANAGERS;\n\nRESIGNATION OF MEMBER\n\nA. The articles of organization or operating agreement may\n\nprovide that the business of the limited liability company shall be\n\nmanaged without designated managers. So long as such provision\n\ncontinues in effect:\n\n1. The members shall be deemed to be managers for purposes of\n\napplying provisions of the Oklahoma Limited Liability Company Act,\n\nunless the context clearly requires otherwise;\n\n2. The members shall have and be subject to all duties and\n\nliabilities of managers; and\n\n3. A member signing on behalf of the limited liability company\n\nshall sign as a manager.\n\nB. A member of a member-managed limited liability company may\n\nresign from the member's management duties in accordance with the\n\noperating agreement or, if the operating agreement does not provide\n\nfor the member's resignation, upon notice to the limited liability\n\ncompany. Unless otherwise provided in the operating agreement, when\n\na member of a member-managed limited liability company resigns, the\n\nmember shall cease to have the rights and duties of a member and\n\nshall become an assignee; provided that the profits and losses of\n\nthe limited liability company shall continue to be allocated to the\n\nmember and any binding commitments for contributions shall continue\n\nas if the member had not resigned.
