Every manager is an agent of the limited liability company\n\nfor the purpose of its business, and the act of every manager,\n\nincluding the execution in the limited liability company name of any\n\ninstrument for apparently carrying on the business of the limited\n\nliability company of which he is a manager, binds the limited\n\nliability company, unless the manager so acting lacks the authority\n\nto act for the limited liability company in the particular matter,\n\nand the person with whom he is dealing has knowledge of the fact\n\nthat he has no such authority. The unauthorized acts of the manager\n\nshall bind the limited liability company as to persons acting in\n\ngood faith who have no knowledge of the fact that the manager had no\n\nsuch authority.\n\nB.
