Stat. tit. 18, § 18-2021","heading":"Records required to be kept - Member access to","body":"information - Managers may inspect and copy records.\n\nA. Unless otherwise provided in a written operating agreement,\n\na limited liability company shall keep at its principal place of\n\nbusiness the following:\n\n1. A current and a past list of the full name and last-known\n\nmailing address of each member and manager;\n\n2. Copies of records that would enable a member to determine\n\nthe relative voting rights of the members;\n\n3. A copy of the articles of organization, together with any\n\namendments thereto;\n\n4. Copies of the limited liability company's federal, state and\n\nlocal income tax returns and financial statements, if any, for the\n\nthree most recent years or, if such returns and statements were not\n\nprepared for any reason, copies of the information and statements\n\nprovided to, or which should have been provided to, the members to\n\nenable them to prepare their federal state and local tax returns for\n\nsuch period;\n\n5. Copies of any effective written operating agreements and all\n\namendments thereto and copies of any written operating agreements no\n\nlonger in effect; and\n\n6. Unless provided in writing in an operating agreement, a\n\nwriting setting out:\n\na. the amount of cash and a statement of the agreed value\n\nof other property or services contributed by each\n\nmember and the times at which or events upon the\n\nhappening of which any additional contributions agreed\n\nto be made by each member are to be made, and\n\nb. the events upon the happening of which the limited\n\nliability company is to be dissolved and its affairs\n\nwound up, and\n\nc. any other information prepared pursuant to a\n\nrequirement in an operating agreement.\n\nB. A member, for any purpose reasonably related to the member's\n\ninterest, may:\n\n1. At the member's own expense, inspect and copy any limited\n\nliability company record upon reasonable request during ordinary\n\nbusiness hours;\n\n2. Obtain from time to time upon reasonable demand:\n\na. true and complete information regarding the state of\n\nthe business and financial condition of the limited\n\nliability company,\n\nb. promptly after becoming available, a copy of the\n\nlimited liability company's state and local income tax\n\nreturns for each year, and\n\nc. other information regarding the affairs of the limited\n\nliability company as is just and reasonable; and\n\n3. Have a formal accounting of the limited liability company's\n\naffairs whenever circumstances render it just and reasonable.\n\nC. A manager, for any purpose reasonably related to his\n\nposition, may inspect and copy any limited liability company records\n\nupon reasonable request during ordinary business hours.\n\nD.
