Stat. tit. 18, § 18-2042","heading":"Foreign limited liability company - Laws governing -","body":"Powers, rights and privileges.\n\nA. Subject to the Constitution of this state:\n\n1. The laws of the state or other jurisdiction under which a\n\nforeign limited liability company is organized shall govern its\n\norganization and internal affairs and the liability of its managers\n\nand members; and\n\n2. A foreign limited liability company may not be denied\n\nregistration by reason of any difference between those laws and the\n\nlaws of this state.\n\nB. A foreign limited liability company holding a valid\n\nregistration in this state shall have no greater rights and\n\nprivileges than a domestic limited liability company.
