Stat. tit. 18, § 18-2043","heading":"Foreign limited liability company - Registration","body":"procedure.\n\nBefore transacting business in this state, a foreign limited\n\nliability company shall register with the Office of the Secretary of\n\nState. In order to register, a foreign limited liability company\n\nshall:\n\n1. Pay to the Secretary of State a registration fee required by\n\nSection 56 of this act;\n\n2. Provide the Secretary of State with an original certificate\n\nfrom the certifying officer of the jurisdiction of the foreign\n\nlimited liability company's organization attesting to the foreign\n\nlimited liability company's organization under the laws of such\n\njurisdiction; and\n\n3. Submit to the Office of the Secretary of State an\n\napplication in duplicate for registration as a foreign limited\n\nliability company, signed by a manager, member, or other person, and\n\nsetting forth:\n\na. the name of the foreign limited liability company and,\n\nif different, the name under which it proposes to\n\ntransact business in this state,\n\nb. the state or other jurisdiction and date of its\n\norganization,\n\nc. the name and street address of a registered agent in\n\nthis state which agent shall be an individual resident\n\nof this state, or a domestic or qualified foreign\n\ncorporation, limited liability company, or limited\n\npartnership. Each registered agent shall maintain a\n\nbusiness office identical with the registered office\n\nwhich is open during regular business hours to accept\n\nservice of process and otherwise perform the functions\n\nof a registered agent. If an additional registered\n\nagent is designated, service of process shall be on\n\nthat agent and not on the Secretary of State,\n\nd. a statement that the Office of the Secretary of State\n\nis appointed the agent of the foreign limited\n\nliability company for service of process if no agent\n\nhas been appointed under subparagraph c of this\n\nparagraph, or if appointed, the agent's authority has\n\nbeen revoked or if the agent cannot be found or served\n\nwith the exercise of reasonable diligence,\n\ne. the address of the office required to be maintained in\n\nthe state of its organization by the laws of that\n\nstate or, if not so required, of the principal office\n\nof the foreign limited liability company, and\n\nf. such additional information as may be necessary or\n\nappropriate in order to enable the Office of the\n\nSecretary of State to determine whether such limited\n\nliability company is entitled to transact business in\n\nthis state.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"123624bdaccaaf76b5393138552e102d9b3422d0c6217cf0e03f800685994ee6","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-2042","next":"us-ok/okla.-stat.-tit.-18-18-2044"},"notice":"GroundRules: Original legal text.
