A foreign limited liability company authorized to transact\n\nbusiness in this state may withdraw from the state upon procuring\n\nfrom the Office of the Secretary of State a certificate of\n\nwithdrawal. In order to procure such certificate, the foreign\n\nlimited liability company shall file with the Office of the\n\nSecretary of State an application for withdrawal and pay the fee\n\nprovided for in Section 2055 of this title. The application for\n\nwithdrawal shall set forth:\n\n1. The name of the foreign limited liability company and the\n\nstate or other jurisdiction under the laws of which it is organized;\n\n2. That the foreign limited liability company is not\n\ntransacting business in this state;\n\n3. That the foreign limited liability company surrenders its\n\ncertificate of registration to transact business in this state;\n\n4. That the foreign limited liability company revokes the\n\nauthority of its registered agent for service of process in this\n\nstate and consents that service of process in any action, suit, or\n\nproceeding based upon any cause of action arising in this state\n\nduring the time the foreign limited liability company was authorized\n\nto transact business in this state may thereafter be made on such\n\nforeign limited liability company by service thereof upon the Office\n\nof the Secretary of State; and\n\n5. An address to which a person may mail a copy of any process\n\nagainst the foreign limited liability company.\n\nB. The application for withdrawal shall be executed by the\n\nforeign limited liability company by one of its managers, members,\n\nor other persons, or, if the foreign limited liability company is in\n\nthe hands of a receiver or trustee, by such receiver or trustee on\n\nbehalf of the foreign limited liability company.\n\nC. The registration of a foreign limited liability company\n\nshall be deemed withdrawn if the foreign limited liability company\n\nfails to file the annual certificate and pay the annual fee provided\n\nin Section 2055.2 of this title or pay a registered agent fee to the\n\nSecretary of State due under Section 2055 of this title within sixty\n\n(60) days after the due date, the withdrawal to be effective on the\n\nsixty-first day after the due date.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"5210e589fbdda1d89a480b531d0f4daa228a919c2ee786d2d4772d096c607451","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-2046","next":"us-ok/okla.-stat.-tit.-18-18-2048"},"notice":"GroundRules: Original legal text.
