A foreign limited liability company transacting business in\n\nthis state may not maintain an action, suit, or proceeding in a\n\ncourt of this state until it has registered in this state as\n\nprovided in this act.\n\nB. The failure of a foreign limited liability company to\n\nregister in this state does not impair the validity of any contract\n\nor act of the foreign limited liability company or prevent the\n\nforeign limited liability company from defending any action, suit,\n\nor proceeding in any court of this state.\n\nC. A foreign limited liability company, by transacting business\n\nin this state without registration, appoints the Office of the\n\nSecretary of State as its agent for service of process with respect\n\nto a cause of action arising out of the transaction of business in\n\nthis state.\n\nD.
