Stat. tit. 18, § 18-2049","heading":"Foreign limited liability company - Acts not constituting","body":"transacting business in state.\n\nFOREIGN LIMITED LIABILITY COMPANY – ACTS NOT\n\nCONSTITUTING TRANSACTING BUSINESS IN STATE\n\nA. The following activities of a foreign limited liability\n\ncompany, among others, do not constitute transacting business within\n\nthe meaning of this act:\n\n1. Maintaining, defending, or settling any proceeding;\n\n2. Holding meetings of its members or carrying on any other\n\nactivities concerning its internal affairs;\n\n3. Maintaining bank accounts;\n\n4. Maintaining offices or agencies for the transfer, exchange\n\nand registration of the foreign limited liability company’s own\n\nsecurities or maintaining trustees or depositaries with respect to\n\nthose securities;\n\n5. Selling through independent contractors;\n\n6. Soliciting or obtaining orders, whether by mail or through\n\nemployees or agents or otherwise, if the orders require acceptance\n\noutside this state before they become contracts;\n\n7. Creating or acquiring indebtedness, mortgages and security\n\ninterests in real or personal property;\n\n8. Securing or collecting debts or enforcing mortgages and\n\nsecurity interest in property securing the debts, including the\n\nholding, protecting, renting, maintaining and operating real or\n\npersonal property in this state so acquired;\n\n9. Transacting business wholly in interstate commerce;\n\n10. Selling or transferring title to property in this state to\n\nany person;\n\n11. Conducting an isolated transaction that is completed within\n\nthirty (30) days and that is not one in the course of repeated\n\ntransactions of a like nature; or\n\n12. Investing in or acquiring royalties or other non-operating\n\nmineral or leasehold interests and the execution of division orders,\n\ncontracts for sale, leases and other instruments incidental to the\n\nownership of the nonoperating interests.\n\nB. For the purposes of this section, any foreign limited\n\nliability company which owns income-producing real or tangible\n\npersonal property in this state, other than property exempted by\n\nsubsection A of this section, will be considered transacting\n\nbusiness in this state.\n\nC. A person shall not be deemed to be doing business in this\n\nstate solely by reason of being a member or manager of a domestic\n\nlimited liability company or a foreign limited liability company.\n\nD.
