Stat. tit. 18, § 18-2051","heading":"Action to recover judgment - Conditions","body":"A member may bring an action in the right of the limited\n\nliability company to recover a judgment in its favor if all of the\n\nfollowing conditions are met:\n\n1. Either:\n\na. management of the limited liability company is vested\n\nin a manager or managers who have the sole authority\n\nto cause the limited liability company to sue in its\n\nown right, or\n\nb. management of the limited liability company is\n\nreserved to the members but the plaintiff does not\n\nhave the authority to cause the limited liability\n\ncompany to sue in its own right under the provisions\n\nof an operating agreement; and\n\n2. The plaintiff has made demand on those managers or those\n\nmembers with such authority requesting that such managers or such\n\nmembers cause the limited liability company to sue in its own right;\n\nand\n\n3. The members or managers with such authority have wrongfully\n\nrefused in the exercise of their business judgment to bring the\n\naction or, after adequate time to consider the demand, have failed\n\nto respond to such demand; and\n\n4. The plaintiff:\n\na. is a member of the limited liability company at the\n\ntime of bringing the action, and\n\nb. was a member of the limited liability company at the\n\ntime of the transaction of which he complains, or his\n\nstatus as a member of the limited liability company\n\nthereafter developed upon him pursuant to the terms of\n\nthe operating agreement from a person who was a member\n\nat such time; and\n\n5.
