Stat. tit. 18, § 18-2055","heading":"Fees","body":"The Secretary of State shall charge and collect the following\n\nfees:\n\n1. For filing the original articles of organization, a fee of\n\nOne Hundred Dollars ($100.00);\n\n2. For filing restated articles of organization, including\n\namended and restated articles of organization, a fee of Fifty\n\nDollars ($50.00);\n\n3. For filing articles of correction, amendment, merger or\n\nconsolidation, registered series, conversion, or division and\n\nissuing a certificate of correction, amendment, merger or\n\nconsolidation, registered series, conversion, or division, a fee of\n\nOne Hundred Dollars ($100.00);\n\n4. For filing articles of dissolution and issuing a certificate\n\nof cancellation, a fee of Fifty Dollars ($50.00);\n\n5. For filing a certificate of correction of statements in an\n\napplication for registration of a foreign limited liability company,\n\na fee of One Hundred Dollars ($100.00);\n\n6. For issuing a certificate for any purpose whatsoever, a fee\n\nof Ten Dollars ($10.00);\n\n7. For filing an application for reservation of a name, or for\n\nfiling a notice of the transfer or cancellation of any name\n\nreservation, a fee of Ten Dollars ($10.00);\n\n8. For filing a statement of change of address of the principal\n\noffice or change of resident agent, or both, a fee of Twenty-five\n\nDollars ($25.00);\n\n9. For filing a change of address for an individual,\n\ncorporation, limited liability company or limited partnership\n\ndesignated by a limited liability company as its registered agent\n\nfor service of process, for change of name of registered agent or\n\nfor the resignation of a registered agent, a fee of Twenty-five\n\nDollars ($25.00) for the first forty corporations and Five Dollars\n\n($5.00) for each additional corporation within any bulk filing;\n\n10. For filing an application for registration as a foreign\n\nlimited liability company, a fee of Three Hundred Dollars ($300.00);\n\n11. For filing an application of withdrawal as provided in\n\nSection 2047 of this title, a fee of One Hundred Dollars ($100.00);\n\n12. For any service of notice, demand, or process upon the\n\nSecretary of State as resident agent of a limited liability company\n\nor registered series, a fee of Twenty-five Dollars ($25.00), which\n\namount may be recovered as taxable costs by the party to be sued,\n\naction, or proceeding causing such service to be made if such party\n\nprevails therein; and\n\n13. For acting as the registered agent of a limited liability\n\ncompany or registered series, a fee of Forty Dollars ($40.00) shall\n\nbe paid on July 1 each year to the Office of the Secretary of State.\n\nAll fees shall be properly accounted for and shall be paid into\n\nthe State Treasury monthly.
