Stat. tit. 18, § 18-2055.2","heading":"Annual certificate for domestic limited liability","body":"company and registered series and foreign limited liability company.\n\nANNUAL CERTIFICATE FOR DOMESTIC LIMITED LIABILITY COMPANY AND\n\nFOREIGN LIMITED LIABILITY COMPANY\n\nA. Every domestic limited liability company and every foreign\n\nlimited liability company registered to do business in this state\n\nshall file a certificate each year in the Office of the Secretary of\n\nState, which confirms it is an active business and includes its\n\nprincipal place of business address, and shall pay an annual\n\ncertificate fee of Twenty-five Dollars ($25.00).\n\nB. The annual certificate shall be due on the anniversary date\n\nof filing the articles of organization, articles of registered\n\nseries, or registration, as the case may be, until cancellation of\n\nthe articles of organization or articles of registered series or\n\nwithdrawal of the registration.\n\nC. The Secretary of State shall, at least sixty (60) days\n\nbefore the anniversary date of each year, cause a notice of the\n\nannual certificate to be sent to each domestic limited liability\n\ncompany and registered series and each foreign limited liability\n\ncompany and registered series required to comply with the provisions\n\nof this section to its last known electronic mail address of record\n\nwith the Secretary of State.\n\nD. A domestic limited liability company or registered series or\n\nforeign limited liability company or registered series that fails to\n\nfile the annual certificate and pay the annual certificate fee\n\nwithin sixty (60) days after the date due shall cease to be in good\n\nstanding as a domestic limited liability company or registered\n\nseries or registered as a foreign limited liability company or\n\nregistered series in this state.\n\nE. Except for accepting a resignation of a registered agent\n\nwhen a successor registered agent is not being appointed or an\n\napplication for reinstatement, the Secretary of State shall not\n\naccept for filing any certificate or articles, or issue any\n\ncertificate of good standing, in respect to any domestic limited\n\nliability company or registered series that has ceased to be in good\n\nstanding or foreign limited liability company or registered series\n\nthat has ceased to be registered, unless or until the domestic\n\nlimited liability company or registered series has been reinstated\n\nin good standing or the foreign limited liability company or\n\nregistered series has been reinstated as a foreign limited liability\n\ncompany or registered series duly registered in this state.\n\nF. A domestic limited liability company or registered series\n\nthat has ceased to be in good standing or a foreign limited\n\nliability company or registered series that has ceased to be\n\nregistered in this state may not maintain any action, suit or\n\nproceeding in any court of this state until the domestic limited\n\nliability company or registered series has been reinstated in good\n\nstanding or the foreign limited liability company or registered\n\nseries has been reinstated as a foreign limited liability company or\n\nregistered series duly registered in this state. An action, suit or\n\nproceeding may not be maintained in any court of this state by any\n\nsuccessor or assignee of the domestic limited liability company or\n\nregistered series or foreign limited liability company or registered\n\nseries on any right, claim or demand arising out of the transaction\n\nof business by the domestic limited liability company or registered\n\nseries after it has ceased to be in good standing or a foreign\n\nlimited liability company or registered series that has ceased to be\n\nregistered in this state until the domestic limited liability\n\ncompany or registered series or foreign limited liability company or\n\nregistered series, or any person that has acquired all or\n\nsubstantially all of its assets, has caused the limited liability\n\ncompany or registered series to be reinstated in good standing or as\n\na foreign limited liability company or registered series duly\ned to be\n\nregistered in this state until the domestic limited liability\n\ncompany or registered series or foreign limited liability company or\n\nregistered series, or any person that has acquired all or\n\nsubstantially all of its assets, has caused the limited liability\n\ncompany or registered series to be reinstated in good standing or as\n\na foreign limited liability company or registered series duly\n\nregistered in this state, as applicable.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"f11471bea2fdd1403bfbddc967ad4c2990b64948fcb014b1d6402cf19807e0aa","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-2055.1","next":"us-ok/okla.-stat.-tit.-18-18-2055.3"},"notice":"GroundRules: Original legal text.
