Stat. tit. 18, § 18-2058.1","heading":"Document form, signature, and delivery","body":"DOCUMENT FORM, SIGNATURE, AND DELIVERY.\n\nA. Except as provided in subsection B of this section, without\n\nlimiting the manner in which any act or transaction may be\n\ndocumented, or the manner in which a document may be signed or\n\ndelivered:\n\n1. Any act or transaction contemplated or governed by the\n\nOklahoma Limited Liability Company Act or an operating agreement may\n\nbe provided for in a document, and an electronic transmission is the\n\nequivalent of a written document;\n\n2. Whenever the Oklahoma Limited Liability Company Act or an\n\noperating agreement requires or permits a signature, the signature\n\nmay be a manual, facsimile, conformed, or electronic signature.\n\n“Electronic signature” means an electronic symbol or process that is\n\nattached to, or logically associated with, a document and executed\n\nor adopted by a person with an intent to execute, authenticate, or\n\nadopt the document. A person may execute a document with such\n\nperson’s signature;\n\n3. Unless otherwise provided in an operating agreement or\n\nagreed upon between the sender and recipient, an electronic\n\ntransmission is delivered to a person for purposes of this title and\n\nan operating agreement when it enters an information processing\n\nsystem that the person has designated for the purpose of receiving\n\nelectronic transmissions of the type delivered, so long as the\n\nelectronic transmission is in a form capable of being processed by\n\nthat system and such person is able to retrieve the electronic\n\ntransmission. Whether a person has so designated an information\n\nprocessing system is determined by the operating agreement or from\n\nthe context and surrounding circumstances, including the party’s\n\nconduct. An electronic transmission is delivered under this section\n\neven if no person is aware of its receipt. Receipt of an electronic\n\nacknowledgement from an information processing system establishes\n\nthat an electronic transmission was received but, by itself, does\n\nnot establish that the content sent corresponds to the content\n\nreceived.\n\nThis section shall not prohibit one or more persons from\n\nconducting a transaction in accordance with the Uniform Electronic\n\nTransactions Act so long as the part or parts of the transaction\n\nthat are governed by the Oklahoma Limited Liability Company Act or\n\nan operating agreement are documented, signed, and delivered in\n\naccordance with this subsection or otherwise in accordance with this\n\nsection. This subsection shall apply solely for purposes of\n\ndetermining whether an act or transaction has been documented, and\n\nthe document has been signed and delivered, in accordance with the\n\nOklahoma Limited Liability Company Act or an operating agreement.\n\nB. Subsection A of this section shall not apply to a document\n\nfiled with or submitted to the Secretary of State, a county clerk,\n\nor a court or other judicial or governmental body of this state.\n\nThis subsection shall not create any presumption about the lawful\n\nmeans to document a matter addressed by this subsection, or the\n\nlawful means to sign or deliver a document addressed by this\n\nsubsection. A provision of an operating agreement shall not limit\n\nthe application of subsection A of this section unless the provision\n\nexpressly restricts one or more of the means of documenting an act\n\nor transaction, or of signing or delivering a document, permitted by\n\nsubsection A of this section.\n\nC. If any provision of this section is deemed to modify, limit,\n\nor supersede the Electronic Signatures in Global and National\n\nCommerce Act, 15 U.S.C.
