Stat. tit. 18, § 18-2061","heading":"Public benefit limited liability companies","body":"PUBLIC BENEFIT LIMITED LIABILITY COMPANIES.\n\nA. Sections 23 through 29 of this act shall be known and may be\n\ncited as the “Oklahoma Public Benefit Limited Liability Company Act”\n\nand within such sections as this act.\n\nB. A “public benefit limited liability company” is a for-profit\n\nlimited liability company formed under and subject to the\n\nrequirements of the Oklahoma Limited Liability Company Act including\n\na professional limited liability company, that is intended to\n\nproduce a public benefit or public benefits and to operate in a\n\nresponsible and sustainable manner as provided under this act. A\n\npublic benefit limited liability company is formed by filing\n\narticles of organization as required under the Oklahoma Limited\n\nLiability Company Act and further by stating in the heading of its\n\narticles of organization that it is a public benefit limited\n\nliability company and by setting forth one or more public benefits\n\nto be promoted by the limited liability company in its articles of\n\norganization. The operating agreement of a public benefit limited\n\nliability company may not contain any provision inconsistent with\n\nthis act.\n\nC. “Public benefit” means a positive effect, or reduction of\n\nnegative effects, on one or more categories of persons, entities,\n\ncommunities or interests, other than members in their capacities as\n\nmembers including effects of an artistic, charitable, cultural,\n\neconomic, educational, environmental, literary, medical, religious,\n\nscientific or technological nature. “Public benefit provisions”\n\nmeans the provisions of the articles of organization or an operating\n\nagreement contemplated by this act.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"cac607abecc0bdab3d3dc360d15e5d51ac4fbbf87274b00fa54caea7ac8a5877","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-2060","next":"us-ok/okla.-stat.-tit.-18-18-2062"},"notice":"GroundRules: Original legal text.
