Stat. tit. 18, § 18-438.17","heading":"Consolidation of cooperatives","body":"Any two or more cooperatives (each of which is hereinafter\n\ndesignated a \"consolidating cooperative\"), may consolidate into a\n\nnew cooperative (hereinafter designated the \"new cooperative\"), by\n\ncomplying with the following requirements:\n\n(a) The proposition for the consolidation of the consolidating\n\ncooperatives into the new cooperative and proposed articles of\n\nconsolidation to give effect thereto shall be submitted to a meeting\n\nof the members of each consolidating cooperative, the notice of\n\nwhich shall have attached thereto a copy of the proposed articles of\n\nconsolidation;\n\n(b) If the proposed consolidation and the proposed articles of\n\nconsolidation, with any amendments, are approved by the affirmative\n\nvote of not less than two thirds of those members of each\n\nconsolidating cooperative voting thereon at each such meeting,\n\narticles of consolidation in the form approved shall be executed and\n\nacknowledged on behalf of each consolidating cooperative by its\n\npresident or vice president and its seal shall be affixed thereto\n\nand attested by its secretary. The articles of consolidation shall\n\nrecite that they are executed pursuant to this act and shall state:\n\n(1) the name of each consolidating cooperative and the address of\n\nits principal office; (2) the name of the new cooperative and the\n\naddress of its principal office; (3) a statement that each\n\nconsolidating cooperative agrees to the consolidation; (4) the names\n\nand addresses of the trustees of the new cooperative; (5) the terms\n\nand conditions of the consolidation and the mode of carrying the\n\nsame into effect, including the manner in which members and\n\nshareholders, if any, of the consolidating cooperatives may or shall\n\nbecome members and shareholders, respectively, of the new\n\ncooperative; (6) the purpose for which the cooperative is formed;\n\n(7) the period of existence of the new cooperative, and may contain\n\nany provisions not inconsistent with this act deemed necessary or\n\nadvisable for the conduct of the business of the new cooperative.\n\nThe president or vice president of each consolidating cooperative\n\nexecuting such articles of consolidation shall make and annex\n\nthereto an affidavit stating that the provisions of this section in\n\nrespect of such articles were duly complied with by such\n\ncooperative.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"92db1a80c67ab829648f1c42973b0211bf8e5810f9c131a6ef7aa86aca451014","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-438.16","next":"us-ok/okla.-stat.-tit.-18-18-438.18"},"notice":"GroundRules: Original legal text.
