Stat. tit. 18, § 18-438.18","heading":"Merger of cooperatives","body":"Any one or more cooperatives (each of which is hereinafter\n\ndesignated a \"merging cooperative\") may merge into another\n\ncooperative (hereinafter designated the \"surviving cooperative\"), by\n\ncomplying with the following requirements:\n\n(a) The proposition for the merger of the merging cooperative\n\ninto the surviving cooperative and proposed articles of merger to\n\ngive effect thereto shall be submitted to a meeting of the members\n\nof each merging cooperative and of the surviving cooperative, the\n\nnotice of which shall have attached thereto a copy of the proposed\n\narticles of merger;\n\n(b) If the proposed merger and the proposed articles of merger,\n\nwith any amendments, are approved by the affirmative vote of not\n\nless than two thirds of those members of each cooperative voting\n\nthereon at each such meeting, articles of merger in the form\n\napproved shall be executed and acknowledged on behalf of each such\n\ncooperative by its president or vice president and its seal shall be\n\naffixed thereto and attested by its secretary. The articles of\n\nmerger shall recite that they are executed pursuant to this act and\n\nshall state: (1) the name of each merging cooperative and the\n\naddress of its principal office; (2) the name of the surviving\n\ncooperative and the address of its principal office; (3) a statement\n\nthat each merging cooperative and the surviving cooperative agree to\n\nthe merger; (4) the names and addresses of the trustees of the\n\nsurviving cooperative; and (5) the terms and conditions of the\n\nmerger and the mode of carrying the same into effect, including the\n\nmanner in which members and shareholders, if any, of the merging\n\ncooperatives may or shall become members and shareholders,\n\nrespectively, of the surviving cooperative; (6) the period of\n\nexistence of the new cooperative; and (7) the purpose for which the\n\ncooperative is formed; and may contain any provisions not\n\ninconsistent with this act deemed necessary or advisable for the\n\nconduct of the business of the surviving cooperative.
