Stat. tit. 18, § 18-438.19","heading":"Effect of consolidation or merger","body":"(a) In the case of a consolidation the existence of the\n\nconsolidating cooperative shall cease and the articles of\n\nconsolidation shall be deemed to be the articles of incorporation of\n\nthe new cooperative; and in the case of a merger the separate\n\nexistence of the merging cooperatives shall cease and the articles\n\nof incorporation of the surviving cooperative shall be deemed to be\n\namended to the extent, if any, that changes therein are provided for\n\nin the articles of merger;\n\n(b) All the rights, privileges, immunities and franchises and\n\nall property, real and personal, including without limitation\n\napplications for membership, all debts due on whatever account and\n\nall other choses in action, of each of the consolidating or merging\n\ncooperatives shall be deemed to be transferred to and vested in the\n\nnew or surviving cooperative without further act or deed;\n\n(c) The new or surviving cooperative shall be responsible and\n\nliable for all the liabilities and obligations of each of the\n\nconsolidating or merging cooperatives and any claim existing or\n\naction or proceeding pending by or against any of the consolidating\n\nor merging cooperatives may be prosecuted as if the consolidation or\n\nmerger had not taken place, but the new or surviving cooperative may\n\nbe substituted in its place; and\n\n(d) Neither the rights of creditors nor any liens upon the\n\nproperty of any of such cooperatives shall be impaired by such\n\nconsolidation or merger.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"3e26f00d3c103a535642815a9ac897e2cabc385fd2242297f49f1b041140cb8b","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-438.18","next":"us-ok/okla.-stat.-tit.-18-18-438.2"},"notice":"GroundRules: Original legal text.
