Stat. tit. 18, § 18-438.7","heading":"Articles of incorporation","body":"Articles of incorporation of a cooperative shall recite that\n\nthey are executed pursuant to this act and shall state: (1) the name\n\nof the cooperative; (2) the address of its principal office; (3) the\n\nnames and addresses of the incorporators; (4) the names and\n\naddresses of its trustees; (5) the purpose for which the cooperative\n\nis formed; and (6) the period of its existence and may contain any\n\nprovisions not inconsistent with this act deemed necessary or\n\nadvisable for the conduct of its business, including provisions for\n\nthe issuance of nonvoting shares of stock as hereinafter provided.\n\nSuch articles shall be signed by each incorporator and acknowledged\n\nby at least two of the incorporators, or on their behalf, if they\n\nare cooperatives. If a cooperative desires to issue nonvoting\n\nshares of stock, its articles of incorporation shall state: (1) the\n\ntotal number of such shares of stock which may be issued and the par\n\nvalue of each share; (2) the fixed or maximum rate of dividends on\n\nthe par value of such shares of stock, in either case not exceeding\n\nfour percent (4%) per annum, and whether dividends shall be\n\ncumulative or noncumulative; (3) whether such shares of stock may be\n\nissued to members only or to members and nonmembers; (4) the maximum\n\nnumber of such shares of stock which may be owned by any person; and\n\n(5) the terms and conditions on which such shares of stock may be\n\ntransferred, redeemed and retired.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"a6df2cd8e8f406c78597eeb421fb291244ae6eaf7aa56e72a27a6e266c057e5f","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-438.6","next":"us-ok/okla.-stat.-tit.-18-18-438.8"},"notice":"GroundRules: Original legal text.
