The district court may dissolve a limited\n\ncooperative association or order any action that under the\n\ncircumstances is appropriate and equitable:\n\n(1) In a proceeding initiated by the Attorney General, if:\n\n(A) the association obtained its articles of organization\n\nthrough fraud; or\n\n(B) the association has continued to exceed or abuse the\n\nauthority conferred upon it by law; or\n\n(2) In a proceeding initiated by a member, if:\n\n(A) the directors are deadlocked in the management of the\n\nassociation’s affairs, the members are unable to break\n\nthe deadlock, and irreparable injury to the\n\nassociation is occurring or is threatened because of\n\nthe deadlock;\n\n(B) the directors or those in control of the association\n\nhave acted, are acting, or will act in a manner that\n\nis illegal, oppressive, or fraudulent;\n\n(C) the members are deadlocked in voting power and have\n\nfailed to elect successors to directors whose terms\n\nhave expired for two consecutive periods during which\n\nannual members meetings were held or were to be held;\n\nor\n\n(D) the assets of the association are being misapplied or\n\nwasted.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"0d9fc9bcba50eb6d3053915965c00bc14b644d7f16cf7b504c23ff3f8ff2ebd8","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-1202","next":"us-ok/okla.-stat.-tit.-18-18-441-1204"},"notice":"GroundRules: Original legal text.
