Stat. tit. 18, § 18-441-1211","heading":"Administrative dissolution","body":"ADMINISTRATIVE DISSOLUTION.\n\n(a) The Secretary of State may dissolve a limited cooperative\n\nassociation administratively if the association does not:\n\n(1) Pay, not later than sixty (60) days after the due date, any\n\nfee, tax, or penalty due to the Secretary of State under the Uniform\n\nLimited Cooperative Association Act of 2009 or other law; or\n\n(2) Deliver not later than sixty (60) days after the due date\n\nits annual report to the Secretary of State.\n\n(b) If the Secretary of State determines that a ground exists\n\nfor dissolving a limited cooperative association administratively,\n\nthe Secretary of State shall file a record of the determination and\n\nserve the association with a copy of the record.\n\n(c) If, not later than sixty (60) days after service of a copy\n\nof the Secretary of State’s determination under subsection (b) of\n\nthis section, the association does not correct each ground for\n\ndissolution or demonstrate to the satisfaction of the Secretary of\n\nState that each uncorrected ground determined by the Secretary of\n\nState does not exist, the Secretary of State shall dissolve the\n\nassociation administratively by preparing and filing a declaration\n\nof dissolution which states the grounds for dissolution. The\n\nSecretary of State shall serve the association with a copy of the\n\ndeclaration.\n\n(d) A limited cooperative association that has been dissolved\n\nadministratively continues its existence only for purposes of\n\nwinding up its activities.\n\n(e) The administrative dissolution of a limited cooperative\n\nassociation does not terminate the authority of its agent for\n\nservice of process.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"90d2c479e112b808690da8c7db2bff96c3075fdfc59ec3b740485ba3f565aa34","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-1210","next":"us-ok/okla.-stat.-tit.-18-18-441-1212"},"notice":"GroundRules: Original legal text.
