Stat. tit. 18, § 18-441-1403","heading":"Activities not constituting transacting business","body":"ACTIVITIES NOT CONSTITUTING TRANSACTING BUSINESS.\n\n(a) Activities of a foreign cooperative which do not constitute\n\ntransacting business in this state under this article include:\n\n(1) Maintaining, defending, and settling an action or\n\nproceeding;\n\n(2) Holding meetings of the foreign cooperative’s members or\n\ndirectors or carrying on any other activity concerning the foreign\n\ncooperative’s internal affairs;\n\n(3) Maintaining accounts in financial institutions;\n\n(4) Maintaining offices or agencies for the transfer, exchange,\n\nand registration of the foreign cooperative’s own securities or\n\nmaintaining trustees or depositories with respect to those\n\nsecurities;\n\n(5) Selling through independent contractors;\n\n(6) Soliciting or obtaining orders, whether by mail or\n\nelectronic means, through employees, agents, or otherwise, if the\n\norders require acceptance outside this state before they become\n\ncontracts;\n\n(7) Creating or acquiring indebtedness, mortgages, or security\n\ninterests in real or personal property;\n\n(8) Securing or collecting debts or enforcing mortgages or\n\nother security interests in property securing the debts, and\n\nholding, protecting, and maintaining property so acquired;\n\n(9) Conducting an isolated transaction that is completed within\n\nthirty (30) days and is not one in the course of similar\n\ntransactions; and\n\n(10) Transacting business in interstate commerce.\n\n(b) For purposes of this article, the ownership in this state\n\nof income-producing real property or tangible personal property,\n\nother than property excluded under subsection (a) of this section,\n\nconstitutes transacting business in this state.\n\n(c) This section does not apply in determining the contacts or\n\nactivities that may subject a foreign cooperative to service of\n\nprocess, taxation, or regulation under law of this state other than\n\nthe Uniform Limited Cooperative Association Act of 2009.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"3aa267a0c855ea183cfeab41ee22a6475c017b6986d3f7ec19105affd8aba973","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-1402","next":"us-ok/okla.-stat.-tit.-18-18-441-1404"},"notice":"GroundRules: Original legal text.
