Stat. tit. 18, § 18-441-1406","heading":"Revocation of certificate of authority","body":"REVOCATION OF CERTIFICATE OF AUTHORITY.\n\n(a) A certificate of authority may be revoked by the Secretary\n\nof State in the manner provided in subsection (b) of this section if\n\nthe foreign cooperative does not:\n\n(1) Pay, not later than sixty (60) days after the due date, any\n\nfee, tax, or penalty due to the Secretary of State under the Uniform\n\nLimited Cooperative Association Act of 2009 or law of this state\n\nother than the Uniform Limited Cooperative Association Act of 2009;\n\n(2) Deliver, not later than sixty (60) days after the due date,\n\nits annual report;\n\n(3) Appoint and maintain an agent for service of process; or\n\n(4) Deliver for filing a statement of change not later than\n\nthirty (30) days after a change has occurred in the name of the\n\nagent or the address of the foreign cooperative’s designated office.\n\n(b) To revoke a certificate of authority, the Secretary of\n\nState must file a notice of revocation and send a copy to the\n\nforeign cooperative’s registered agent for service of process in\n\nthis state or, if the foreign cooperative does not appoint and\n\nmaintain an agent for service of process in this state, to the\n\nforeign cooperative’s principal office. The notice must state:\n\n(1) The revocation’s effective date, which must be at least\n\nsixty (60) days after the date the Secretary of State sends the\n\ncopy; and\n\n(2) The foreign cooperative’s noncompliance that is the reason\n\nfor the revocation.\n\n(c) The authority of a foreign cooperative to transact business\n\nin this state ceases on the effective date of the notice of\n\nrevocation unless before that date the foreign cooperative cures\n\neach failure to comply stated in the notice.
