Stat. tit. 18, § 18-441-1407","heading":"Cancellation of certificate of authority - Effect of","body":"failure to have certificate.\n\nCANCELLATION OF CERTIFICATE OF AUTHORITY; EFFECT OF FAILURE TO\n\nHAVE CERTIFICATE.\n\n(a) To cancel its certificate of authority, a foreign\n\ncooperative must deliver to the Secretary of State for filing a\n\nnotice of cancellation. The certificate is canceled when the notice\n\nbecomes effective under Section 23 of this act.\n\n(b) A foreign cooperative transacting business in this state\n\nmay not maintain an action or proceeding in this state unless it has\n\na certificate of authority.\n\n(c) The failure of a foreign cooperative to have a certificate\n\nof authority does not impair the validity of a contract or act of\n\nthe foreign cooperative or prevent the foreign cooperative from\n\ndefending an action or proceeding in this state.\n\n(d) A member of a foreign cooperative is not liable for the\n\nobligations of the foreign cooperative solely by reason of the\n\nforeign cooperative’s having transacted business in this state\n\nwithout a certificate of authority.\n\n(e) If a foreign cooperative transacts business in this state\n\nwithout a certificate of authority or cancels its certificate, it\n\nappoints the Secretary of State as its agent for service of process\n\nfor an action arising out of the transaction of business in this\n\nstate.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"083c53566c1b0a0c91ecec35fbd2db139020ec2a98fed2370635d048fbe063b2","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-1406","next":"us-ok/okla.-stat.-tit.-18-18-441-1408"},"notice":"GroundRules: Original legal text.
