In this article:\n\n(1) “Constituent entity” means an entity that is a party to a\n\nmerger.\n\n(2) “Constituent limited cooperative association” means a\n\nlimited cooperative association that is a party to a merger.\n\n(3) “Converted entity” means the organization into which a\n\nconverting entity converts pursuant to Sections 135 through 138 of\n\nthis act.\n\n(4) “Converting entity” means an entity that converts into\n\nanother entity pursuant to Sections 135 through 138 of this act.\n\n(5) “Converting limited cooperative association” means a\n\nconverting entity that is a limited cooperative association.\n\n(6) “Organizational documents” means articles of incorporation,\n\nbylaws, articles of organization, operating agreements, partnership\n\nagreements, or other documents serving a similar function in the\n\ncreation and governance of an entity.\n\n(7) “Personal liability” means personal liability for a debt,\n\nliability, or other obligation of an entity imposed, by operation of\n\nlaw or otherwise, on a person that co-owns or has an interest in the\n\nentity:\n\n(A) by the entity’s organic law solely because of the\n\nperson co-owning or having an interest in the entity;\n\nor\n\n(B) by the entity’s organizational documents under a\n\nprovision of the entity’s organic law authorizing\n\nthose documents to make one or more specified persons\n\nliable for all or specified parts of the entity’s\n\ndebts, liabilities, and other obligations solely\n\nbecause the person co-owns or has an interest in the\n\nentity.\n\n(8) “Surviving entity” means an entity into which one or more\n\nother entities are merged, whether the entity existed before the\n\nmerger or is created by the merger.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"f474054c122f5511279ef0ee40084ac930342fc5f7678b4261184b3136bcfcda","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-1504","next":"us-ok/okla.-stat.-tit.-18-18-441-1602"},"notice":"GroundRules: Original legal text.
