Stat. tit. 18, § 18-441-1602","heading":"Conversion","body":"CONVERSION.\n\n(a) An entity that is not a limited cooperative association may\n\nconvert to a limited cooperative association and a limited\n\ncooperative association may convert to an entity that is not a\n\nlimited cooperative association pursuant to this section, Sections\n\n136 through 138 of this act, and a plan of conversion, if:\n\n(1) The other entity’s organic law authorizes the conversion;\n\n(2) The conversion is not prohibited by the law of the\n\njurisdiction that enacted the other entity’s organic law; and\n\n(3) The other entity complies with its organic law in effecting\n\nthe conversion.\n\n(b) A plan of conversion must be in a record and must include:\n\n(1) The name and form of the entity before conversion;\n\n(2) The name and form of the entity after conversion;\n\n(3) The terms and conditions of the conversion, including the\n\nmanner and basis for converting interests in the converting entity\n\ninto any combination of money, interests in the converted entity,\n\nand other consideration; and\n\n(4) The organizational documents of the proposed converted\n\nentity.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"9739ef3485e2a379509a0ed59000ae7aeaa82b68dd7661a31ad8964a7b80c490","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-1601","next":"us-ok/okla.-stat.-tit.-18-18-441-1603"},"notice":"GroundRules: Original legal text.
