Stat. tit. 18, § 18-441-1604","heading":"Filings required for conversion - Effective date","body":"FILINGS REQUIRED FOR CONVERSION; EFFECTIVE DATE.\n\n(a) After a plan of conversion is approved:\n\n(1) A converting limited cooperative association shall deliver\n\nto the Secretary of State for filing articles of conversion, which\n\nmust include:\n\n(A) a statement that the limited cooperative association\n\nhas been converted into another entity;\n\n(B) the name and form of the converted entity and the\n\njurisdiction of its governing statute;\n\n(C) the date the conversion is effective under the\n\ngoverning statute of the converted entity;\n\n(D) a statement that the conversion was approved as\n\nrequired by the Uniform Limited Cooperative\n\nAssociation Act of 2009;\n\n(E) a statement that the conversion was approved as\n\nrequired by the governing statute of the converted\n\nentity; and\n\n(F) if the converted entity is an entity organized in a\n\njurisdiction other than this state and is not\n\nauthorized to transact business in this state, the\n\nstreet address and, if different, mailing address of\n\nan office which the Secretary of State may use for\n\npurposes of Section 20 of this act; and\n\n(2) If the converting entity is not a converting limited\n\ncooperative association, the converting entity shall deliver to the\n\nSecretary of State for filing articles of organization, which must\n\ninclude, in addition to the information required by Section 30 of\n\nthis act:\n\n(A) a statement that the association was converted from\n\nanother entity;\n\n(B) the name and form of the converting entity and the\n\njurisdiction of its governing statute; and\n\n(C) a statement that the conversion was approved in a\n\nmanner that complied with the converting entity’s\n\ngoverning statute.\n\n(b) A conversion becomes effective:\n\n(1) If the converted entity is a limited cooperative\n\nassociation, when the articles of conversion take effect pursuant to\n\nsubsection (c) of Section 23 of this act; or\n\n(2) If the converted entity is not a limited cooperative\n\nassociation, as provided by the governing statute of the converted\n\nentity.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"b43432d34882976d2268a00d1820a2cfbec56c95c2c98c47074bd50cb02ce139","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-1603","next":"us-ok/okla.-stat.-tit.-18-18-441-1605"},"notice":"GroundRules: Original legal text.
