Stat. tit. 18, § 18-441-1606","heading":"Merger","body":"MERGER.\n\n(a) One or more limited cooperative associations may merge with\n\none or more other entities pursuant to this article and a plan of\n\nmerger if:\n\n(1) The governing statute of each of the other entities\n\nauthorizes the merger;\n\n(2) The merger is not prohibited by the law of a jurisdiction\n\nthat enacted any of those governing statutes; and\n\n(3) Each of the other entities complies with its governing\n\nstatute in effecting the merger.\n\n(b) A plan of merger must be in a record and must include:\n\n(1) The name and form of each constituent entity;\n\n(2) The name and form of the surviving entity and, if the\n\nsurviving entity is to be created by the merger, a statement to that\n\neffect;\n\n(3) The terms and conditions of the merger, including the\n\nmanner and basis for converting the interests in each constituent\n\nentity into any combination of money, interests in the surviving\n\nentity, and other consideration;\n\n(4) If the surviving entity is to be created by the merger, the\n\nsurviving entity’s organizational documents;\n\n(5) If the surviving entity is not to be created by the merger,\n\nany amendments to be made by the merger to the surviving entity’s\n\norganizational documents; and\n\n(6) If a member of a constituent limited cooperative\n\nassociation will have personal liability with respect to a surviving\n\nentity, the identity of the member by descriptive class or other\n\nreasonable manner.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"d43406b08bb89b65e8b2f3a138ffe1e69b1f97fcbe672c43a3e9772b7745491e","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-1605","next":"us-ok/okla.-stat.-tit.-18-18-441-1607"},"notice":"GroundRules: Original legal text.
