Stat. tit. 18, § 18-441-1610","heading":"Effect of merger","body":"EFFECT OF MERGER.\n\n(a) When a merger becomes effective:\n\n(1) The surviving entity continues or comes into existence;\n\n(2) Each constituent entity that merges into the surviving\n\nentity ceases to exist as a separate entity;\n\n(3) All property owned by each constituent entity that ceases\n\nto exist vests in the surviving entity;\n\n(4) All debts, liabilities, and other obligations of each\n\nconstituent entity that ceases to exist continue as obligations of\n\nthe surviving entity;\n\n(5) An action or proceeding pending by or against any\n\nconstituent entity that ceases to exist may be continued as if the\n\nmerger had not occurred;\n\n(6) Except as prohibited by law other than the Uniform Limited\n\nCooperative Association Act of 2009, all rights, privileges,\n\nimmunities, powers, and purposes of each constituent entity that\n\nceases to exist vest in the surviving entity;\n\n(7) Except as otherwise provided in the plan of merger, the\n\nterms and conditions of the plan take effect;\n\n(8) Except as otherwise provided in the plan of merger, if a\n\nmerging limited cooperative association ceases to exist, the merger\n\ndoes not dissolve the association for purposes of Article 12 of this\n\nact;\n\n(9) If the surviving entity is created by the merger and:\n\n(A) is a limited cooperative association, the articles of\n\norganization become effective; or\n\n(B) is an entity other than a limited cooperative\n\nassociation, the organizational document that creates\n\nthe entity becomes effective; and\n\n(10) If the surviving entity is not created by the merger, any\n\namendments made by the articles of merger for the organizational\n\ndocuments of the surviving entity become effective.\n\n(b) A surviving entity that is an entity organized under the\n\nlaws of a jurisdiction other than this state consents to the\n\njurisdiction of the courts of this state to enforce any obligation\n\nowed by the constituent entity if, before the merger, the\n\nconstituent entity was subject to suit in this state on the\n\nobligation. A surviving entity that is an entity organized under\n\nthe laws of a jurisdiction other than this state and not authorized\n\nto transact business in this state appoints the Secretary of State\n\nas its agent for service of process for purposes of enforcing an\n\nobligation under this subsection.
