Stat. tit. 18, § 18-441-402","heading":"Notice and action on amendment of organic rules","body":"NOTICE AND ACTION ON AMENDMENT OF ORGANIC RULES.\n\n(a) Except as provided in subsection (a) of Section 33 of this\n\nact and subsection (f) of Section 37 of this act, the organic rules\n\nof a limited cooperative association may be amended only at a\n\nmembers meeting. An amendment may be proposed by either:\n\n(1) A majority of the board of directors, or a greater\n\npercentage if required by the organic rules; or\n\n(2) One or more petitions signed by at least ten percent (10%)\n\nof the patron members or at least ten percent (10%) of the investor\n\nmembers.\n\n(b) The board of directors shall call a members meeting to\n\nconsider an amendment proposed pursuant to subsection (a) of this\n\nsection. The meeting must be held not later than ninety (90) days\n\nfollowing the proposal of the amendment by the board or receipt of a\n\npetition. The board must mail or otherwise transmit or deliver in a\n\nrecord to each member:\n\n(1) The proposed amendment, or a summary of the proposed\n\namendment and a statement of the manner in which a copy of the\n\namendment in a record may be reasonably obtained by a member;\n\n(2) A recommendation that the members approve the amendment, or\n\nif the board determines that because of conflict of interest or\n\nother special circumstances it should not make a favorable\n\nrecommendation, the basis for that determination;\n\n(3) A statement of any condition of the board’s submission of\n\nthe amendment to the members; and\n\n(4) Notice of the meeting at which the proposed amendment will\n\nbe considered, which must be given in the same manner as notice for\n\na special meeting of members.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"8c4465cfee435dff1cae73bdff17559d968afd03ba3e086fd738a814d9d0ce23","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-401","next":"us-ok/okla.-stat.-tit.-18-18-441-403"},"notice":"GroundRules: Original legal text.
