Stat. tit. 18, § 18-441-407","heading":"Amendment or restatement of articles of organization -","body":"Filing.\n\nAMENDMENT OR RESTATEMENT OF ARTICLES OF ORGANIZATION; FILING.\n\n(a) To amend its articles of organization, a limited\n\ncooperative association must deliver to the Secretary of State for\n\nfiling an amendment of the articles, or restated articles of\n\norganization or articles of conversion or merger pursuant to Article\n\n16 of the Uniform Limited Cooperative Association Act of 2009, which\n\ncontain one or more amendments of the articles of organization,\n\nstating:\n\n(1) The name of the association;\n\n(2) The date of filing of the association’s initial articles;\n\nand\n\n(3) The changes the amendment makes to the articles as most\n\nrecently amended or restated.\n\n(b) Before the beginning of the initial meeting of the board of\n\ndirectors, an organizer who knows that information in the filed\n\narticles of organization was inaccurate when the articles were filed\n\nor has become inaccurate due to changed circumstances shall\n\npromptly:\n\n(1) Cause the articles to be amended; or\n\n(2) If appropriate, deliver an amendment to the Secretary of\n\nState for filing pursuant to Section 23 of this act.\n\n(c) If restated articles of organization are adopted, the\n\nrestated articles may be delivered to the Secretary of State for\n\nfiling in the same manner as an amendment.\n\n(d) Upon filing, an amendment of the articles of organization\n\nor other record containing an amendment of the articles which has\n\nbeen properly adopted by the members is effective as provided in\n\nsubsection (c) of Section 23 of this act.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"9d88b9406e5cb19423e4fcd60c09df9ae21778a0514b39f9dea73b3c689d4788","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-406","next":"us-ok/okla.-stat.-tit.-18-18-441-501"},"notice":"GroundRules: Original legal text.
