Stat. tit. 18, § 18-441-804","heading":"Election of directors and composition of board","body":"ELECTION OF DIRECTORS AND COMPOSITION OF BOARD.\n\n(a) Unless the organic rules require a greater number:\n\n(1) The number of directors that must be patron members may not\n\nbe fewer than:\n\n(A) one, if there are two or three directors;\n\n(B) two, if there are four or five directors;\n\n(C) three, if there are six through eight directors; or\n\n(D) one-third (1/3) of the directors if there are at least\n\nnine directors; and\n\n(2) A majority of the board of directors must be elected\n\nexclusively by patron members.\n\n(b) Unless the organic rules otherwise provide, if a limited\n\ncooperative association has investor members, the directors who are\n\nnot elected exclusively by patron members are elected by the\n\ninvestor members.\n\n(c) Subject to subsection (a) of this section, the organic\n\nrules may provide for the election of all or a specified number of\n\ndirectors by one or more districts or classes of members.\n\n(d) Subject to subsection (a) of this section, the organic\n\nrules may provide for the nomination or election of directors by\n\ndistricts or classes, directly or by district delegates.\n\n(e) If a class of members consists of a single member, the\n\norganic rules may provide for the member to appoint a director or\n\ndirectors.\n\n(f) Unless the organic rules otherwise provide, cumulative\n\nvoting for directors is prohibited.\n\n(g) Except as otherwise provided by the organic rules,\n\nsubsection (e) of this section, or Sections 31, 55, 56 and 74 of\n\nthis act, member directors must be elected at an annual members\n\nmeeting.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"6062b737bd55f9c3899cc3ca1e67b00f4f488d057c9a41119b6944707966d9e3","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-803","next":"us-ok/okla.-stat.-tit.-18-18-441-805"},"notice":"GroundRules: Original legal text.
