Stat. tit. 18, § 18-441-809","heading":"Vacancy on board","body":"VACANCY ON BOARD.\n\n(a) Unless the organic rules otherwise provide, a vacancy on\n\nthe board of directors must be filled:\n\n(1) Within a reasonable time by majority vote of the remaining\n\ndirectors until the next annual members meeting or a special meeting\n\nof members called to fill the vacancy; and\n\n(2) For the unexpired term by members at the next annual\n\nmembers meeting or a special meeting of members called to fill the\n\nvacancy.\n\n(b) Unless the organic rules otherwise provide, if a vacating\n\ndirector was elected or appointed by a class of members or a\n\ndistrict:\n\n(1) The new director must be of that class or district; and\n\n(2) The selection of the director for the unexpired term must\n\nbe conducted in the same manner as would the selection for that\n\nposition without a vacancy.\n\n(c) If a member appointed a vacating director, the organic\n\nrules may provide for that member to appoint a director to fill the\n\nvacancy.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"f6b70b5c3631411d076471ec4b0ac0e8d93fb6913579ba9e501a14f4da771dd5","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-441-808","next":"us-ok/okla.-stat.-tit.-18-18-441-810"},"notice":"GroundRules: Original legal text.
