As used in the Professional Entity Act, unless the context\n\nclearly indicates that a different meaning is intended:\n\n1. “Associated act” means the Oklahoma General Corporation Act,\n\nin the case of a corporation; the Uniform Limited Partnership Act of\n\n2010, in the case of a limited partnership; or the Oklahoma Limited\n\nLiability Company Act, in the case of a limited liability company;\n\n2. “Interest” means a share of stock in a corporation, a\n\npartnership interest in a limited partnership or a membership\n\ninterest in a limited liability company;\n\n3. “Owner” means a shareholder in the case of a corporation, a\n\ngeneral or limited partner in the case of a limited partnership or a\n\nmember in the case of a limited liability company;\n\n4. “Manager” means a director or officer in the case of a\n\ncorporation, a general partner in the case of a limited partnership\n\nor a manager in the case of a limited liability company;\n\n5. “Professional entity” means a domestic or qualified foreign\n\ncorporation, limited partnership or limited liability company formed\n\nfor the purpose of rendering professional service or formed for the\n\npurpose of owning a professional entity rendering professional\n\nservice;\n\n6. “Professional service” means the personal service rendered\n\nby:\n\na. a physician, surgeon or doctor of medicine pursuant to\n\na license under Sections 481 through 524 of Title 59\n\nof the Oklahoma Statutes, and any subsequent laws\n\nregulating the practice of medicine,\n\nb. an osteopathic physician or surgeon pursuant to a\n\nlicense under Sections 620 through 645 of Title 59 of\n\nthe Oklahoma Statutes, and any subsequent laws\n\nregulating the practice of osteopathy,\n\nc. a chiropractic physician pursuant to a license under\n\nSections 161.1 through 161.20 of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws regulating\n\nthe practice of chiropractic,\n\nd. a podiatric physician pursuant to a license under\n\nSections 135.1 through 160.2 of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws regulating\n\nthe practice of podiatric medicine,\n\ne. an optometrist pursuant to a license under Sections\n\n581 through 606 of Title 59 of the Oklahoma Statutes,\n\nand any subsequent laws regulating the practice of\n\noptometry,\n\nf. a veterinarian pursuant to a license under Sections\n\n698.1 through 698.30b of Title 59 of the Oklahoma\n\nStatutes, and any subsequent laws regulating the\n\npractice of veterinary medicine,\n\ng. an architect pursuant to a license under Sections 46.1\n\nthrough 46.41 of Title 59 of the Oklahoma Statutes,\n\nand any subsequent laws regulating the practice of\n\narchitecture,\n\nh. an attorney pursuant to his or her authority to\n\npractice law granted by the Supreme Court of this\n\nstate,\n\ni. a dentist pursuant to a license under Sections 328.1\n\nthrough 328.53 of Title 59 of the Oklahoma Statutes,\n\nand any subsequent laws regulating the practice of\n\ndentistry,\n\nj. a certified public accountant or a public accountant\n\npursuant to his or her authority to practice\n\naccounting under Sections 15.1 through 15.38 of Title\n\n59 of the Oklahoma Statutes, and any subsequent laws\n\nregulating the practice of public accountancy,\n\nk. a psychologist pursuant to a license under Sections\n\n1351 through 1376 of Title 59 of the Oklahoma\n\nStatutes, and any subsequent laws regulating the\n\npractice of psychology,\n\nl. a physical therapist pursuant to a license under\n\nSections 887.1 through 887.18 of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws regulating\n\nthe practice of physical therapy,\n\nm. a registered nurse pursuant to a license under\n\nSections 567.1 through 567.19 of Title 59 of the\n\nOklahoma Statutes, and any other subsequent laws\n\nregulating the practice of nursing,\n\nn. a professional engineer pursuant to a license under\n\nSections 475.1 through 475.22a of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws relating to\n\nthe practice of engineering,\nf physical therapy,\n\nm. a registered nurse pursuant to a license under\n\nSections 567.1 through 567.19 of Title 59 of the\n\nOklahoma Statutes, and any other subsequent laws\n\nregulating the practice of nursing,\n\nn. a professional engineer pursuant to a license under\n\nSections 475.1 through 475.22a of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws relating to\n\nthe practice of engineering,\n\no. a land surveyor pursuant to a license under Sections\n\n475.1 through 475.22a of Title 59 of the Oklahoma\n\nStatutes, and any subsequent laws relating to the\n\npractice of land surveying,\n\np. an occupational therapist pursuant to Sections 888.1\n\nthrough 888.15 of Title 59 of the Oklahoma Statutes\n\nand any subsequent law regulating the practice of\n\noccupational therapy,\n\nq. a speech pathologist or speech therapist pursuant to\n\nSections 1601 through 1622 of Title 59 of the Oklahoma\n\nStatutes, and any subsequent law regulating the\n\npractice of speech pathology,\n\nr. an audiologist pursuant to Sections 1601 through 1622\n\nof Title 59 of the Oklahoma Statutes, and any\n\nsubsequent law regulating the practice of audiology,\n\ns. a registered pharmacist pursuant to Sections 353\n\nthrough 360 of Title 59 of the Oklahoma Statutes, and\n\nany subsequent law regulating the practice of\n\npharmacy,\n\nt. a licensed perfusionist pursuant to Sections 2051\n\nthrough 2071 of Title 59 of the Oklahoma Statutes, and\n\nany subsequent laws regulating the practice of\n\nperfusionists,\n\nu. a licensed professional counselor pursuant to Sections\n\n1901 through 1920 of Title 59 of the Oklahoma\n\nStatutes, and any subsequent law regulating the\n\npractice of professional counseling,\n\nv. a licensed marital and family therapist pursuant to\n\nSections 1925.1 through 1925.18 of Title 59 of the\n\nOklahoma Statutes, and any subsequent law regulating\n\nthe practice of marital and family therapy,\n\nw. a dietitian licensed pursuant to Sections 1721 through\n\n1739 of Title 59 of the Oklahoma Statutes and any\n\nsubsequent laws regulating the practice of dietitians,\n\nx. a social worker licensed pursuant to Sections 1250\n\nthrough 1273 of Title 59 of the Oklahoma Statutes, and\n\nany subsequent laws regulating the practice of social\n\nwork,\n\ny. a licensed alcohol and drug counselor pursuant to\n\nSections 1870 through 1885 of Title 59 of the Oklahoma\n\nStatutes, and any subsequent laws regulating the\n\npractice of alcohol and drug counseling,\n\nz. a licensed behavioral practitioner pursuant to\n\nSections 1930 through 1949.1 of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws regulating\n\nthe practice of behavioral health services, or\n\naa. a certified real estate appraiser licensed pursuant to\n\nSections 858-700 through 858-732 of Title 59 of the\n\nOklahoma Statutes or listed on the National Registry\n\nof Appraisers by the Appraisal Subcommittee in\n\ncompliance with Title XI of the Financial Institutions\n\nReform, Recovery, and Enforcement Act (FIRREA) of\n\n1989, and any subsequent laws regulating the practice\n\nof real estate appraisal;\n\n7. “Related professional services” means those services which\n\nare combined for professional entity purposes as follows:\n\na. any combination of the following professionals:\n\n(1) a physician, surgeon or doctor of medicine\n\npursuant to a license under Sections 481 through\n\n524 of Title 59 of the Oklahoma Statutes, and any\n\nsubsequent laws regulating the practice of\n\nmedicine,\n\n(2) an osteopathic physician or surgeon pursuant to a\n\nlicense under Sections 620 through 645 of Title\n\n59 of the Oklahoma Statutes, and any subsequent\n\nlaws relating to the practice of osteopathy,\n\n(3) a dentist pursuant to a license under Sections\n\n328.1 through 328.53 of Title 59 of the Oklahoma\n\nStatutes, and any subsequent laws regulating the\n\npractice of dentistry,\nhe practice of\n\nmedicine,\n\n(2) an osteopathic physician or surgeon pursuant to a\n\nlicense under Sections 620 through 645 of Title\n\n59 of the Oklahoma Statutes, and any subsequent\n\nlaws relating to the practice of osteopathy,\n\n(3) a dentist pursuant to a license under Sections\n\n328.1 through 328.53 of Title 59 of the Oklahoma\n\nStatutes, and any subsequent laws regulating the\n\npractice of dentistry,\n\n(4) a chiropractic physician pursuant to a license\n\nunder Sections 161.1 through 161.20 of Title 59\n\nof the Oklahoma Statutes, and any subsequent laws\n\nregulating the practice of chiropractic,\n\n(5) a psychologist pursuant to a license under\n\nSections 1351 through 1376 of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws\n\nregulating the practice of psychology,\n\n(6) an optometrist pursuant to a license under\n\nSections 581 through 606 of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws\n\nregulating the practice of optometry,\n\n(7) a podiatric physician pursuant to a license under\n\nSections 135.1 through 160.2 of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws\n\nregulating the practice of podiatric medicine,\n\n(8) a dietitian licensed pursuant to Sections 1721\n\nthrough 1739 of Title 59 of the Oklahoma Statutes\n\nand subsequent laws regulating the practice of\n\ndietitians, or\n\n(9) an occupational therapist pursuant to Sections\n\n888.1 through 888.15 of Title 59 of the Oklahoma\n\nStatutes and any subsequent law regulating the\n\npractice of occupational therapy, or\n\nb. any combination of the following professions:\n\n(1) an architect pursuant to a license under Sections\n\n46.1 through 46.41 of Title 59 of the Oklahoma\n\nStatutes, and any subsequent laws regulating the\n\npractice of architecture,\n\n(2) a professional engineer pursuant to a license\n\nunder Sections 475.1 through 475.22a of Title 59\n\nof the Oklahoma Statutes, and any subsequent laws\n\nrelating to the practice of engineering, or\n\n(3) a land surveyor pursuant to a license under\n\nSections 475.1 through 475.22a of Title 59 of the\n\nOklahoma Statutes, and any subsequent laws\n\nrelating to the practice of land surveying;\n\n8. “Regulating board” means the board which is charged with the\n\nlicensing and regulation of the practice of the profession which the\n\nprofessional entity is organized to render;\n\n9. “Individual”, “incorporator” and “shareholder” each include\n\nthe trustee of an express trust created by a person duly licensed or\n\notherwise permitted to render a professional service who has the\n\nright to revoke the trust and who is serving as the trustee of the\n\ntrust. Any certificate required by the Professional Entity Act to\n\nbe issued to an individual incorporator or shareholder may be issued\n\nto the grantor on behalf of a trust. All references in the\n\nProfessional Entity Act to death and incapacity of a shareholder\n\nshall include the death and incapacity of the grantor of a trust\n\nwhich own stock in a professional corporation;\n\n10. “Incapacity” of a shareholder means a determination by a\n\ncourt of competent jurisdiction, or otherwise by two independent\n\nlicensed physicians, that the shareholder is fully incapacitated or\n\nis partially incapacitated to the extent that the shareholder is not\n\ncapable of rendering the professional service for which the\n\nprofessional corporation was organized; and\n\n11. “Other personal representative” includes the successor\n\ntrustee of an express trust owning stock in a professional\n\ncorporation, which trust was created by a person duly licensed or\n\notherwise permitted to render the professional service for which the\n\nprofessional corporation was organized who has the right to revoke\n\nthe trust and who is the original trustee of the trust.\n\nB.
