Except as otherwise provided by this section, no member of\n\nthe board of directors of a nonprofit corporation that holds a valid\n\nexemption from federal income taxation issued pursuant to Section\n\n501(a) of the Internal Revenue Code (26 U.S.C. Section 501(a)) or\n\nSection 528 of the Internal Revenue Code (26 U.S.C. Section 528) and\n\nis listed as an exempt organization in Section 501(c) of the\n\nInternal Revenue Code (26 U.S.C. Section 501(c)) or files as such\n\npursuant to Section 528 of the Internal Revenue Code shall be held\n\npersonally liable for damages resulting from:\n\n1. any negligent act or omission of an employee of the\n\nnonprofit corporation; or\n\n2. any negligent act or omission of another director.\n\nB. The immunity provided by subsection A of this section shall\n\nnot extend to intentional torts or grossly negligent acts or\n\nomissions personal to any director of the nonprofit corporation.\n\nC. If a nonprofit corporation transfers assets to a member of\n\nthe board of directors of such corporation or to another nonprofit\n\ncorporation in order to avoid claims against corporate assets\n\nresulting from a judgment rendered as a result of a suit to recover\n\ndamages for the negligence of the corporation, a corporate employee\n\nor a director, the director to whom the asset is transferred or any\n\ndirector of the corporation from which assets are transferred to\n\navoid such claims may be held personally liable for any such\n\njudgment rendered and the immunity provided by this section shall be\n\nof no force or effect.\n\nD.
