It shall be the duty of the board of county commissioners to\n\nplace the management and control of a county hospital either under a\n\nboard of control composed of five, seven, or nine members, or to\n\nlease the hospital and the equipment therein to a public trust or to\n\nan organization authorized to transact business in this state, the\n\nprincipal purpose of which is providing health care services and\n\nwhich can demonstrate to the board of county commissioners its\n\nfinancial and managerial ability to operate property owned by the\n\nhospital or a portion of the hospital.\n\nB. Unless the hospital is to be leased as provided in this\n\nsection, the board of county commissioners shall appoint the members\n\nof the board of control who shall be residents of the county, not\n\nmore than three of whom may be residents of the city or town in\n\nwhich the hospital is located. Members of the board of control\n\nshall hold office, as follows: Five-member board - one for one (1)\n\nyear; two for two (2) years; and two for three (3) years. Seven-\n\nmember board - two for one (1) year; two for two (2) years; and\n\nthree for three (3) years. Nine-member board - three for one (1)\n\nyear; three for two (2) years; and three for three (3) years. The\n\nboard of county commissioners shall appoint successors for members\n\nof the board of control whose terms have expired. Successors shall\n\nserve for a term of four (4) years; provided, the board of county\n\ncommissioners may at their discretion call an election for the\n\npurpose of electing such successors with the cost of the election to\n\nbe paid for by the county. Filings for election shall be made with\n\nthe county election board which shall conduct the election. No\n\nmember of the board of control shall hold any state, county or city\n\nelective office while serving on the board of control. Members of\n\nthe board of control shall receive no salary or compensation for\n\ntheir services, but may be reimbursed for any actual and necessary\n\nexpenditures incurred in the performance of their duties upon\n\npresentation of an itemized statement of such expenses duly\n\nverified, filed with the secretary, if every attending member of the\n\nboard votes in the affirmative at any regular board meeting.\n\nVacancies in the board of control occasioned by removal,\n\nresignation, or otherwise shall be filled in like manner as original\n\nappointments, to hold office during the unexpired term for which the\n\nmember was appointed.\n\nC. 1. If, by a two-thirds (2/3) vote, the board of county\n\ncommissioners determines that it is in the best interest of the\n\ncounty, it may in lieu of operation of the hospital through a board\n\nof control, lease the hospital and the equipment therein to an\n\norganization authorized to transact business in this state, the\n\nprincipal purpose of which is providing health care services, and\n\nwhich can demonstrate to the board of county commissioners its\n\nfinancial and managerial ability to operate the hospital.\n\n2. The lease shall require that the lessee shall be responsible\n\nfor all costs of operation and maintenance of the hospital in its\n\nentirety.\n\n3. The lessee is specifically authorized to mortgage, with\n\nappropriate remedies, including the right of foreclosure, its\n\nleasehold interest in the real and personal property comprising or\n\nowned by the hospital, any portion of the hospital, or the equipment\n\nfor the purpose of securing or refunding indebtedness incurred in\n\nconnection with the related hospital or equipment.\n\n4. a. If the lessee is a public trust, the lessee, by a two-\n\nthirds (2/3) vote of its board of trustees and with\n\nthe approval of the board of county commissioners by a\n\ntwo-thirds (2/3) vote, may assign its leasehold\n\ninterest or sublease the real and personal property\n\ncomprising or owned by the hospital, a portion of the\n\nhospital, or the equipment to an organization\ned hospital or equipment.\n\n4. a. If the lessee is a public trust, the lessee, by a two-\n\nthirds (2/3) vote of its board of trustees and with\n\nthe approval of the board of county commissioners by a\n\ntwo-thirds (2/3) vote, may assign its leasehold\n\ninterest or sublease the real and personal property\n\ncomprising or owned by the hospital, a portion of the\n\nhospital, or the equipment to an organization\n\nauthorized to transact business in this state, the\n\nprincipal purpose of which is providing health care\n\nservices, and which can demonstrate to the board of\n\ntrustees and to the board of county commissioners its\n\nfinancial and managerial ability to operate property\n\nowned by the hospital or a portion of the hospital.\n\nb. If the lessee is other than a public trust, the\n\nlessee, by a two-thirds (2/3) vote of the lessee’s\n\ngoverning board and with the approval of the board of\n\ncounty commissioners by a two-thirds (2/3) vote, may\n\nassign its leasehold interest or sublease the real and\n\npersonal property comprising or owned by the hospital,\n\na portion of the hospital, or the equipment to a\n\npublic trust or to an organization authorized to\n\ntransact business in this state, the principal purpose\n\nof which is providing health care services and which\n\ncan demonstrate to the board of county commissioners\n\nits financial and managerial ability to operate\n\nproperty owned by the hospital or a portion of the\n\nhospital.\n\nD.
