Stat. tit. 19, § 19-878","heading":"Secretary - Clerk","body":"It shall be the duty of the secretary to attend all of the\n\nregular and special meetings of the board of directors and to make a\n\nproper record of all of the proceedings, to record at length in a\n\nseparate book all of the orders, rules and regulations issued or\n\nmade by the board of directors, and to perform all such other duties\n\nas may be designated by the board of directors, or as may be usual\n\nand customary for the office of clerk. The board of directors may,\n\nin addition to, or in lieu of the compensation fixed for the clerk,\n\nallow additional compensation, or fix his compensation, when, in\n\ntheir judgment, the duties of the clerk so require.
