Stat. tit. 2, § 2-17-10","heading":"Bylaws - Adoption - Amendment of bylaws - Subjects which","body":"may be regulated.\n\nA. Each association incorporated pursuant to the Cooperative\n\nMarketing Association Act shall adopt bylaws consistent with the\n\nCooperative Marketing Association Act within thirty (30) days after\n\nits incorporation. A majority of the members voting on the bylaws\n\nis necessary to adopt the bylaws. Each shareholder or member shall\n\nbe entitled to one vote, and no more, irrespective of the number of\n\nshares owned or patronage.\n\nB. The bylaws shall provide for their amendment by the members\n\nand the method by which amendments may be adopted. The bylaws may\n\ninclude, but are not limited to:\n\n1. The time, place, and manner of calling and conducting its\n\nmeetings, which meetings, and the meetings of its directors, may be\n\nheld either in or outside the state;\n\n2. The number of members constituting a quorum;\n\n3. The right of members to vote in person, by proxy, or by mail\n\nat general or special meetings; and the conditions, manner, form,\n\nand effects of these votes;\n\n4. The number of directors constituting a quorum;\n\n5. The number, qualifications, compensation, duties, and term\n\nof office of directors and officers; the time of their election and\n\nthe mode and manner of giving notice thereof;\n\n6. Penalties for violations of bylaws;\n\n7. The amount of entrance, organization, and membership fees,\n\nif any; the manner and method of collection of the fees, and the\n\npurposes for which the fees may be used;\n\n8. The amount which each member shall be required to pay\n\nannually or from time to time, if at all, to carry on the business\n\nof the association; the charge, if any, to be paid by each member\n\nfor services rendered by the association to such member and the time\n\nof payment and the manner of collection; and marketing contract\n\nbetween the association and its members which every member may be\n\nrequired to sign; and\n\n9. The number, qualification, and voting rights of members of\n\nthe association and the conditions precedent to membership; the\n\nmethod, time, and manner of permitting members to withdraw or to\n\ntransfer their stock; the manner of assignment and transfer of the\n\ninterest of members; the mode, manner, and effect of the expulsion\n\nof a member; the manner of determining the value of a member's\n\ninterest and provision for its purchase by the association upon the\n\ndeath or withdrawal of a member or upon the expulsion of a member or\n\nforfeiture of membership.","path":["OK Code","Title 2"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os2.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"e6505e18383cfcdb5dd2740ddde9f2b8f9dc2603d35e5644a6e01d00f9d7d2f9","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-2-2-17-1","next":"us-ok/okla.-stat.-tit.-2-2-17-11"},"notice":"GroundRules: Original legal text.
