The incorporators of an association to be formed pursuant to\n\nthe Cooperative Marketing Association Act must prepare and file\n\nArticles of Incorporation setting forth:\n\n1. The name of the association which may or may not include the\n\nword \"cooperative\";\n\n2. Its purposes;\n\n3. Its duration;\n\n4. Its principal place of business in the state;\n\n5. The name and post office address of each of the\n\nincorporators;\n\n6. The names and addresses of those who are to serve as\n\nincorporating directors for the first term, or until the election\n\nand qualifications of their successors;\n\n7. If organized without capital stock, whether the property\n\nrights and interests of each member are to be equal or unequal. If\n\nunequal, the Articles of Incorporation shall include the general\n\nrule applicable to all members by which the property rights and\n\ninterests respectively of each member shall be determined and\n\nprovision for the admission of new members who shall share in the\n\nproperty of the association in accordance with the general rule; and\n\n8. If organized with capital stock, the amount of the stock and\n\nthe number of shares into which the capital stock is to be divided;\n\nwhether all or part of the capital stock shall have par value, and\n\nif so, the par value thereof. If there is to be more than one class\n\nof stock created, the Articles of Incorporation shall include a\n\ndescription of the different classes, the number of shares in each\n\nclass, the relative rights, interests, and preferences each class\n\nshall represent, and the dividends, which may be cumulative, not\n\nexceeding eight percent (8%) per annum, to which each share shall be\n\nentitled.\n\nB. The Articles of Incorporation may contain any provision\n\nconsistent with law with respect to management, regulation,\n\ngovernment, financing, indebtedness, membership, the establishment\n\nof voting districts, and the election of delegates for\n\nrepresentative purposes, the issuance, retirement and transfer of\n\nits stock, if formed with capital stock, or any provision relative\n\nto the way or manner in which it shall operate with respect to its\n\nmembers, officers, or directors, and any other provisions relating\n\nto its affairs.\n\nC. The Articles of Incorporation must be subscribed by the\n\nincorporators and acknowledged by one of them before an officer\n\nauthorized by the law of this state to take and certify\n\nacknowledgments of deeds and conveyances and shall be filed with the\n\nOklahoma Secretary of State.
