Provide the Commissioner of the Oklahoma Insurance\n\nDepartment a summary of an insurer or insurance group's corporate\n\ngovernance structure, policies and practices to permit the\n\nCommissioner to gain and maintain an understanding of the insurer's\n\ncorporate governance framework;\n\n2. Outline the requirements for completing a Corporate\n\nGovernance Annual Disclosure (CGAD) with the Commissioner; and\n\n3. Provide for the confidential treatment of the CGAD and\n\nrelated information that will contain confidential and sensitive\n\ninformation related to an insurer or insurance group's internal\n\noperations and proprietary and trade secret information which, if\n\nmade public, could potentially cause the insurer or insurance group\n\ncompetitive harm or disadvantage.\n\nB. Nothing in this act shall be construed to prescribe or\n\nimpose corporate governance standards and internal procedures beyond\n\nthose which are required under applicable state corporate law.\n\nNotwithstanding the foregoing, nothing in this act shall be\n\nconstrued to limit the Commissioner's authority or the rights or\n\nobligations of third parties under Sections 309.1 through 309.7 of\n\nTitle 36 of the Oklahoma Statutes.\n\nC.
